Job Summary:

We are seeking a qualified Company Secretary (CS) to oversee the secretarial, legal, and compliance functions of our APEC operations in alignment with both local Indian laws and the global governance standards of our multinational group. The role requires a skilled professional who can manage statutory filings, ensure corporate compliance, support board operations, and act as a liaison between Indian legal entities and global headquarters

Key Responsibilities:

Statutory & Regulatory Compliance (India-Specific)

  • Ensure full compliance with the Companies Act, 2013, FEMA, SEBI (if listed), RBI, MCA, and other applicable laws and regulations.
  • Manage statutory filings and records with Registrar of Companies (ROC), Reserve Bank of India (RBI), and other local authorities.
  • Maintain statutory registers, resolutions, and annual returns.

Global & Cross-Border Governance

  • Align Indian compliance and governance frameworks with global group standards.
  • Support global reporting requirements, audits, and entity management 
  • Ensure compliance with filings of Entities in APEC regions  
  • Board and Committee Meetings
  • Organize and manage Board, Audit, and Stakeholder Committee meetings for Indian legal entities.
  • Prepare agenda, notices, resolutions, and detailed minutes in accordance with Secretarial Standards (SS-1, SS-2).
  • Ensure timely filings and disclosures as per Indian law and group policy.

Liaison & Regulatory Interaction

  • Act as the primary point of contact with:
    • MCA / ROC
    • RBI (for foreign investments, ODI, etc.)
    • External auditors, legal advisors, and consultants

 Stakeholder and Shareholder Engagement

  • Coordinate with internal stakeholders (India and global HQ) and external advisors.
  • Handle shareholder resolutions, dividend declarations, share transfers, and other secretarial matters.
  • Interface with Registrar & Transfer Agents (if applicable).

Compliance Management & Risk Mitigation

  • Develop and maintain compliance calendars, internal SOPs, and compliance dashboards.
  • Support secretarial audits, internal audits, and statutory audits.
  • Advise leadership on changes in legal/regulatory environment and mitigate governance risks.

 Qualifications:

  • Qualified Company Secretary (ACS / FCS) from the Institute of Company Secretaries of India (ICSI).
  • [3-5] years of post-qualification experience, preferably in an MNC, Big 4, or a listed Indian company with international operations.
  • Exposure to global entity compliance, FEMA, cross-border structuring, and transfer pricing is a strong plus.

 Skills & Competencies:

  • In-depth knowledge of:
    • Indian Corporate Law
    • FEMA Regulations (FDI, ODI, ECBs, etc.)
  • Strong stakeholder management across multiple jurisdictions.
  • Excellent written and verbal communication.
  • High integrity, confidentiality, and attention to detail.
  • Experience with compliance management software, Diligent, or Blueprint One World is preferred.

 Desirable Add-ons:

  • LLB or LLM (Company Law or International Law specialization).
